People responsible of foreign companies in Spain don’t have the status of juridical persons. To open a branch in Spain it is necessary the following: -
Certificate of establishment where appears “Branch in Spain” next to the company name
Office address
Aim of activities
Name and salaries of all workers
Company regulations
Company certificate provided by the competent state institution
Powers of company representative stamped and translated to Spanish
All quoted documentation must be certificated by a notary and legalised by the Spanish Consulate. If the notaries acts are done in Spain, the intervention of the Consulate is not necessary. Once enrolled into the Commercial Register, we must demand a certificate translated into Spanish and signed by a notary where the name and the charge of the administrator appear. Later we have to be registered in the Tributary Agency to obtain the Fiscal Identification Number. To accelerate this process we can cooperate with a Spanish enterprise. Usually tariff oscillates from 600 to 900 euros, although prices are higher if the statutory capital is more than 150,000 euros.
